Effective Date: 12 August 2025
This Vendor Agreement (“Agreement”) sets out the terms governing the relationship between Art is Lit (“Marketplace”, “we”, “us”, “our”) and the independent artist, maker, creator, or seller (“Vendor”, “you”, “your”) using the Art is Lit marketplace.
By registering as a Vendor and listing products on Art is Lit, you agree to be bound by this Agreement.
1. Purpose of the Marketplace
Art is Lit is a creative marketplace dedicated to connecting artists, makers, and collectors through the sale of original artwork, handmade products, creative services, and related artistic content.
Art is Lit provides the platform through which Vendors may promote and sell their work directly to customers.
Art is Lit is not the creator, manufacturer, or owner of products sold by independent Vendors.
2. Vendor Eligibility
To become a Vendor, you must:
- Be at least 18 years old.
- Have the legal right to sell the products you list.
- Provide accurate registration information.
- Maintain up-to-date account details.
- Comply with all applicable laws and regulations.
Art is Lit reserves the right to approve, reject, suspend, or remove Vendor accounts at its sole discretion.
3. Vendor Responsibilities
As a Vendor, you are responsible for:
- Creating accurate product listings.
- Maintaining product availability.
- Setting your own prices.
- Managing inventory.
- Fulfilling orders promptly.
- Packaging products safely.
- Providing customer service.
- Managing returns and refunds in accordance with your stated policies.
- Complying with consumer protection laws.
You agree not to publish misleading, false, offensive, unlawful, or infringing content.
4. Original Work and Intellectual Property
Vendors must only upload:
- Original artwork.
- Original photographs.
- Original written content.
- Content for which they hold appropriate rights or permissions.
By uploading content to Art is Lit, you confirm that you own or have permission to use all content submitted.
You retain ownership of your intellectual property.
By listing products on Art is Lit, you grant Art is Lit a non-exclusive, worldwide licence to:
- Display your listings.
- Promote your work.
- Feature your products in marketing materials.
- Share your content across Art is Lit communication channels.
This licence ends when your content is permanently removed from the platform, except where historical records are required.
5. Marketplace Commission
Art is Lit charges a commission on completed sales.
The current commission rate will be displayed in your Vendor dashboard or communicated separately.
Commission rates may be updated from time to time with reasonable notice.
Art is Lit reserves the right to deduct its commission before releasing funds to Vendors.
6. Payments
Art is Lit operates a marketplace payment system that may include split-payment functionality.
When a customer completes a purchase:
- Payment is processed through an approved payment provider.
- Marketplace commission is automatically deducted.
- The remaining balance is allocated to the Vendor.
- Payment processing fees may also apply.
Payments are subject to the terms and conditions of the payment provider.
Art is Lit is not responsible for delays caused by payment processors, banks, or financial institutions.
7. Taxes
Vendors are solely responsible for ensuring compliance with their own tax obligations, including:
- Income tax
- VAT
- Sales taxes
- Customs duties
- Import or export obligations
- Any other applicable taxes
Each Vendor is responsible for:
- Determining whether they must register for VAT or similar taxes.
- Collecting and remitting taxes where legally required.
- Maintaining financial records.
- Filing tax returns.
- Meeting all reporting obligations.
Art is Lit does not provide tax, legal, or accounting advice.
8. Shipping and Fulfilment
Unless otherwise agreed, Vendors are responsible for:
- Shipping sold items.
- Providing accurate shipping information.
- Supplying tracking details where available.
- Packaging products appropriately.
Vendors are responsible for ensuring that products arrive in the condition described in their listing.
9. Returns and Refunds
Vendors must maintain fair and transparent return and refund policies.
Where applicable, Vendors are responsible for:
- Processing returns.
- Communicating with customers.
- Issuing refunds.
Art is Lit may assist in resolving disputes but is not responsible for refunding customers on behalf of Vendors.
10. Community Standards
Art is Lit is built around creativity, respect, and community.
Vendors agree to:
- Treat customers respectfully.
- Communicate professionally.
- Respect other artists and creators.
- Avoid harassment, discrimination, or abusive behaviour.
- Support a welcoming and inclusive environment.
11. Prohibited Items
The following may not be listed on Art is Lit:
- Counterfeit goods.
- Copyright-infringing content.
- Illegal products.
- Dangerous or prohibited items.
- Fraudulent listings.
- Content that promotes hate, discrimination, or violence.
Art is Lit reserves the right to remove listings without notice.
12. Account Suspension or Termination
Art is Lit may suspend or terminate Vendor accounts where:
- This Agreement is breached.
- Fraudulent activity is suspected.
- Intellectual property rights are violated.
- Customer complaints indicate serious misconduct.
- The Vendor damages the reputation of the marketplace.
Termination may result in removal of listings and access to marketplace services.
13. Limitation of Liability
Art is Lit provides marketplace services on an “as available” basis.
To the maximum extent permitted by law, Art is Lit shall not be liable for:
- Loss of profits.
- Business interruption.
- Indirect or consequential damages.
- Customer disputes.
- Shipping delays.
- Payment processing interruptions.
14. Changes to this Agreement
Art is Lit reserves the right to amend this Agreement at any time.
Updated versions will be published on the website and become effective upon publication.
15. Governing Law
This Agreement shall be governed by the laws of England and Wales.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
